3. Account Registration and Access
To access our SaaS platform, you must:
- Provide accurate, complete, and current information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized use
- Be at least 18 years old or have legal capacity to enter contracts
- Not share your account with unauthorized third parties
4. Subscription Plans and Billing
- Subscription fees are charged in advance on a recurring basis
- Prices are subject to change with 30 days' written notice
- All fees are non-refundable unless otherwise specified
- Late payments may result in service suspension
- VAT and other applicable taxes are added to invoice amounts
- Payment terms are typically Net 30 days unless otherwise agreed
5. Use of Services

- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our services

- We process personal data in accordance with our Privacy Policy and GDPR
- We implement appropriate security measures to protect your data
- You are responsible for backing up your data

7. Service Availability and Support
- We aim for 99.5% uptime but do not guarantee uninterrupted service
- Scheduled maintenance will be communicated in advance when possible
- Support is provided during Austrian business hours (CET/CEST)
- Emergency support may be available for critical issues
- We reserve the right to suspend services for maintenance or security reasons
8. Intellectual Property
- We retain all rights to our platform, software, and documentation
- You retain ownership of your data and content
- Custom development work: IP ownership will be specified in separate agreements
- You grant us a license to use your data solely to provide our services
- Any feedback or suggestions you provide may be used by us without compensation
9. Termination
Either party may terminate these Terms:
- With 30 days' written notice for convenience
- Immediately for material breach that remains uncured after 15 days' written notice
- Immediately if the other party becomes insolvent or files for bankruptcy
Upon termination:
- Your access to services will be suspended
- You may export your data for 30 days after termination
- Outstanding fees remain payable
10. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
- We are not liable for indirect, incidental, consequential, or punitive damages
- We are not responsible for data loss due to your actions or third-party services
- Force majeure events excuse performance delays or failures
11. Warranties and Disclaimers
- Services are provided "as is" without warranties of any kind
- We disclaim all warranties, express or implied, except as required by law
- We do not warrant that services will be error-free or uninterrupted
- You use our services at your own risk
12. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:
- Your breach of these Terms
- Your violation of applicable laws
- Your misuse of our services
- Your data or content violating third-party rights
13. Modifications to Terms
We may modify these Terms at any time by:
- Posting updated Terms on our website
- Sending notification to your registered email address
- Providing 30 days' notice for material changes
Continued use of services after changes constitutes acceptance
14. Governing Law and Disputes
These Terms are governed by Austrian law. Any disputes will be resolved through:

- Arbitration or Austrian courts as a last resort

Neither party will be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, government actions, labor strikes, or internet/telecommunications failures.
